has sponsored nearly $70 million of investments with strong institutional
backing. C3's Principals have been active private equity
investors and business owners and managers for decades. We bring a
unique mix of operating and financial skills and a substantial network
of contacts to every business in which we invest. Our backgrounds
include senior management at 7 companies, extensive public and private
board representation, commercial banking, investment banking, and
accounting experience.
While many mezzanine providers require a sponsor in each investment,
C3 draws on its private equity experience to invest in
transactions with or without a sponsor. We focus on adding value to
businesses through strategic and financial guidance and by sharing
our network of relationships. We act as important resources to management
to help management succeed, but do not seek control. |

has been an active private equity investor and successful entrepreneur
since 1977. Prior to founding C3 Capital, he was a founder
and Principal of C3 Holdings, which invested over $60 million
in ten businesses. He spent ten years in the 1970s as an investment
banker at Goldman Sachs and Bear, Stearns advising high net worth
families on the sale of their businesses throughout the Midwest and
Texas. Mr. Cass has an MBA from the Wharton Graduate School of Business
and a BBA in Finance from Southern Methodist University. |

Patrick Curran |

| Based in Kansas City, Mr.
Curran has been an active and successful private equity investor since
1979 and was a founder and Principal of C3 Holdings, which
invested over $60 million in ten businesses. Prior to this, he served
as CEO of Cook Composites & Polymers, a $1 billion chemicals business
that he helped create through a joint venture between Cook Paint and
Total Chimie of France. He spent nearly 20 years at Cook Paint, working
his way up to CEO, and performed one of the first leveraged buyouts
on this company in 1979. He has served on the board of numerous highly
successful Midwestern companies, including Applebee's International,
Gold Banc, Lockton Companies, Unitog, Sealright, JPS Packaging, and
American Safety Razor. He has an MBA from the Kellogg School of Business
at Northwestern University and a BA in Economics from Stanford University. |

F. Healy |

| Based in Kansas City, Mr.
Healy has been an active private equity investor since 1985 and was
a founder of C3 Holdings in 1994. Prior to this time, he
sponsored and structured equity investments in real estate with a
value of over $400 million. He gained extensive workout and restructuring
experience as chair of the creditors committee of a $1 billion bankruptcy
and from being called upon to rescue a publicly traded company from
a major fraud. Mr. Healy was a senior tax partner at Mayer, Hoffman,
McCann, a regional CPA firm, for ten years. He received a BS in Accounting
from the University of Kansas. |

L. Smith Jr. |

| Based in Kansas City, Mr.
Smith spent 14 years at Koch Industries in a variety of senior management
and operational roles prior to joining C3 Capital. He was
President of Koch Producer Services, where he managed a $120 million
oil and gas mezzanine investment portfolio. As Executive Vice President
of Koch Oil, he managed the largest crude oil gathering and trading
business in the U.S. He was also responsible for building a successful
financial energy risk management business at Koch Energy. Mr. Smith
received a MBA from the University of Chicago and a BS in Engineering
from the University of Kansas. |

Swartzman |

| Based in Kansas City, Mr.
Swartzman spent 4 years building and managing the private equity operations
at KC Venture Group prior to joining C3 Capital. At KC
Venture Group, he was primarily responsible for structuring and managing
subordinated debt investments. Prior to this, he spent 7 years as
a Vice President with Citibank in New York, managing client relationships
for emerging markets clients and structuring and syndicating over
$1 billion in complex trade financings. Mr. Swartzman received an
MBA from Columbia Business School and a BA from Harvard College. |
